About Sam

Sam Anderson helps represent clients in a broad range of corporate transactions in the energy sector, including all aspects of upstream, midstream and downstream oil and gas, power, renewables and carbon capture projects and transactions. Sam has experience negotiating and drafting purchase and sale agreements, membership interest purchase agreements, bespoke offtake arrangements, hedging agreements (including secured lien based arrangements), operating and management agreements and other procurement agreements for energy and infrastructure projects. In addition, she has experience developing and negotiating master agreements used in the power, gas and environmental products trading industries, including the ISDA and physical annexes thereunder, NAESB, EEI, WSPP and LEAP for low carbon fuel standard (LCFS) credits, carbon capture allowances (CCA), renewable identification numbers (RINS) and regional greenhouse gas initiatives (RGGIs).


Recent Notable Matters

Renewable developer — represented developer on two projects located in Maine and Massachusetts in connection with offtakes, credit support and ancillary agreement for sale of energy and corresponding RECs to consortium of municipalities

Alternative investment manager — represent alternative investor manager in connection with developing platform and negotiating environmental products trading agreements to buy and sell renewable energy credits (RECs), renewable identification numbers (RINs), carbon capture allowances (CCAs), emissions credits and low carbon fuel standard (LCFS) credits

Mineral acquisition fund — $455 million total cash sale of mineral and royalty interests located in the Permian Basin and Mid-Continent to Kimbell Royalty Partners

Private oil and gas operator — $130 million sale of non-operated interests in the Northern Delaware Basin
